A limited liability company is registered by the National Agency of Public Registry, usually within one business day for GEL 100 or the same day for GEL 200. How it works

The LLC is the standard form. Registration needs a charter, the founders' identity documents, the director's consent and the consent of the owner of the registered address. Foreign documents are apostilled or legalised and translated by a certified translator. A founder abroad can register through a power of attorney without travelling.

Tax registration is automatic. VAT registration becomes mandatory when taxable turnover passes GEL 100,000 in any twelve months and can be done voluntarily earlier. Monthly returns are filed online through the Revenue Service portal, in Georgian, which is why most foreign-owned companies retain a local accountant from day one.

Opening the bank account is where timelines stretch. Georgian banks apply enhanced checks to non-resident owners: identity, source of funds, the business plan, sometimes an interview. Allow one to four weeks and expect to show more than you would in the EU. Remote opening is rare.

After registration

  • Accounting under IFRS or IFRS for SMEs, with filing to the Service for Accounting, Reporting and Auditing Supervision by category.
  • Payroll: 20% personal income tax withheld at source and 2% plus 2% pension contributions for Georgian citizens and residents.
  • Special regimes, if eligible: International Company, Virtual Zone or a free industrial zone.
  • Work and residence permits for foreign staff, which follow separate rules.

Questions investors ask about this rule

Do I need to visit Georgia to register a company?

No. A notarised and apostilled power of attorney lets a lawyer register for you. You will usually need to appear for the bank account, or appoint a local director who can.

Can the company own property and land?

Apartments, commercial property and non-agricultural land, yes. Agricultural land is restricted for foreign ownership, including through a Georgian company in most cases.

What does a year of compliance cost?
